These Terms of Service (“Terms”) govern access to and use of the Value Props websites and SaaS platform (the “Services”).

Business use only: The Services are offered for business and professional use. By using the Services, you represent that you are acting on behalf of a business/organization or in a professional capacity.

2) The Services

Value Props provides a SaaS platform to help organizations manage go-to-market knowledge, playbooks, messaging, and related enablement workflows, including optional AI-powered features. We may modify or update the Services over time.

3) Accounts and security

You must:

• provide accurate information,
• keep credentials confidential,
• promptly notify us of suspected unauthorized access.

You are responsible for all activity under your account(s).

4) Customer Content

“Customer Content” means any content submitted to the Services by or on behalf of you (including text, files, and other data).

• You retain ownership of Customer Content.
• You grant Value Props a limited right to host, process, transmit, and display Customer Content solely to provide, secure, and maintain the Services and as otherwise permitted by these Terms and applicable agreements.
• You are responsible for ensuring you have all rights and legal bases to submit Customer Content.

5) Google integrations / Google API data

If you enable a Google integration (e.g., Google Workspace) and authorize access via Google OAuth, you instruct Value Props to access and process the authorized Google data only to provide the integration features you have enabled.

You agree that:

• access scope depends on what you/your organization authorize,
• you can revoke access by disconnecting the integration (where applicable).

6) Acceptable use

You will not:

• violate laws or regulations,
• infringe rights of others,
• attempt unauthorized access or disrupt the Services,
• upload malware or harmful code,
• use the Services to build or support a competing product (except where prohibited by law).

7) AI features

If AI features are enabled:

• outputs may be inaccurate and require human review,
• you are responsible for how you use outputs,
• you will not use outputs as a substitute for professional advice (legal/financial/medical).

8) Fees and payment

Paid use may be subject to fees described in an order form, subscription plan, or proposal. Taxes may apply.

9) Data protection

Where Value Props processes personal data on your behalf, the parties’ data protection terms (including a DPA where applicable) govern.

10) Confidentiality

Each party may receive confidential information from the other. Each party agrees to protect the other’s confidential information using reasonable care and use it only for purposes related to the Services/relationship.

11) Disclaimers

The Services are provided “as is” and “as available” to the maximum extent permitted by law. We do not guarantee uninterrupted or error-free operation.

12) Limitation of liability

To the maximum extent permitted by law, Value Props will not be liable for indirect, incidental, special, consequential, or punitive damages.

Our total aggregate liability related to the Services will be limited to the fees paid by you for the Services during the 12 months preceding the event giving rise to the claim (or another cap agreed in an order form), except where prohibited by law.

13) Suspension and termination

We may suspend or terminate access if you materially breach these Terms, if necessary for security, or if required by law. Upon termination, handling of Customer Content (return/deletion) follows the applicable agreement/DPA and our retention/backups policies.

14) Governing law

These Terms are governed by French law and the courts of Paris, France have jurisdiction, except where mandatory law provides otherwise.
